Engagement Agreement

What this covers. This agreement governs a Forge build engagement: designing and building a website, automation or AI system. It sits alongside our general Terms of Service and Privacy Policy. Requesting a free mockup places you under sections 1 to 4 only. Sections 5 onwards apply once you accept a written quote.

1.Permission to access and crawl your website

To prepare a mockup or scope a build we read the publicly accessible pages of the website you give us. We collect your current content, page structure, navigation and branding, and use that as the starting point before improving the design and copy.

Under the Cybercrimes Act 19 of 2020, accessing a computer system requires the authorisation of the person entitled to give it. By submitting a request and ticking the crawl permission box, you confirm that you own the website or are authorised to permit access to it on the owner’s behalf.

We read only what an ordinary visitor could reach. We do not attempt to log in, do not access private or client areas, do not submit forms, and do not modify anything on your site. We honour robots.txt, and we identify ourselves in the user agent so the activity is visible in your logs.

You may withdraw this permission at any time by emailing support@getohdit.co.za. We will stop accessing the site on receipt.

2.Licence to use your existing content

Your website copy, images and brand assets remain yours. Under the Copyright Act 98 of 1978, you grant us a limited, non-exclusive, revocable licence to reproduce and adapt that material for the sole purpose of preparing your mockup and, if you proceed, building your site.

This licence does not permit us to use your material for any other client, to republish it elsewhere, or to retain it beyond the purposes described here. You confirm that you hold the rights to the material you ask us to work from, including any stock imagery or third-party content already on your site.

3.Processing your personal information

We process your name, email address, telephone number and business details to respond to your request and to deliver the engagement. Under the Protection of Personal Information Act 4 of 2013 (POPIA), the lawful basis is the performance of a contract with you, or steps taken at your request before entering one.

Where crawling your site incidentally collects personal information published on it, such as staff names on a team page, we process that information solely to reproduce and improve your own content, and for no other purpose.

4.The mockup is free and carries no obligation

A requested mockup is provided at no cost and places you under no obligation to proceed. It is a visual proposal, not a finished website, and remains our property until a build is agreed and paid for.

We may decline a mockup request, and may stop work on one, without giving reasons.

5.How a build is priced

Forge builds are quoted at a fixed price confirmed in writing before any work begins. The published package prices are starting points for typical engagements; the figure you are quoted is scoped to what your build actually requires.

The factors that move a quote are:

  • the number of pages, templates and distinct layouts
  • functionality beyond standard pages: booking, portals, payments, calculators
  • the number and complexity of integrations with systems you already use
  • automation and agent workflows, and how many decision paths each carries
  • whether content is migrated, rewritten, or created from scratch
  • the volume and condition of the material we are working from
  • compliance requirements specific to your profession or sector
  • expected traffic, which determines the infrastructure the build needs

Once a quote is accepted, that price is fixed for the agreed scope. Work you ask for beyond that scope is quoted separately and in writing before it starts. We do not issue surprise invoices.

6.Ownership on handover

On final payment, ownership of the delivered website transfers to you: the design, the page content we produce for you, and your domain. You receive access to the hosting and services that run it.

We retain ownership of our underlying tooling, component libraries, agent frameworks and anything developed before or independently of your engagement. Nothing here grants you rights to those, and nothing prevents us from reusing that general know-how for other clients.

We may reference your project as work we have done, including a screenshot and your business name, unless you tell us in writing that you would rather we did not.

7.Monthly running costs

After launch, a live site has ongoing costs. These are billed monthly and cover two distinct things.

Set running costs. A fixed monthly fee covering hosting, your email service, and the communication infrastructure your site depends on. This is a known amount that does not change month to month for a given configuration.

The amount depends on what your build requires and is confirmed in your written quote before you commit. It is driven by the infrastructure your site needs, principally whether your data sits on shared or dedicated infrastructure, your expected traffic, and your email and messaging volumes. Usage-based services such as SMS and WhatsApp messaging are billed at cost on top, and only when used.

Human support is additional. Ongoing work involving a person, such as content updates, design changes, new features, monitoring and advisory time, is not included in the set running cost. It is quoted separately, either as a monthly retainer or per request, so the fixed portion of your bill stays genuinely fixed.

You may cancel monthly services with 30 days’ written notice. On cancellation we will assist you in moving your site to another provider; the site is yours.

8.Electronic acceptance

Under the Electronic Communications and Transactions Act 25 of 2002, an electronic acceptance has the same legal force as a signature on paper. Ticking a consent box, or confirming a quote by email, constitutes acceptance of the relevant sections of this agreement.

9.Confidentiality

We treat non-public information we encounter during an engagement as confidential, including anything found while reviewing your site, your commercial arrangements, and material you share with us. We do not disclose it except where the law requires, and we apply the same standard after the engagement ends.

10.Governing law

This agreement is governed by the law of the Republic of South Africa. Your rights under the Consumer Protection Act 68 of 2008, where it applies to you, are not limited by anything in this document.
